What type of property company does Secconda form?

Secconda uses a non-trading limited liability company (hereinafter, the Property Company). Such an organization can stand as a unified entity in representation and for the protection of buyers who then become owners. Each Property Company has a bank account, tax identification number, and the title to the property. Specifics will depend on the country where the Property Company is formed, which will be where the property is located.

What am I buying with Secconda?

When you purchase a share of a property-specific limited liability company, you buy a share of a Property Company that exclusively owns a home. You may purchase between 1/8 or 4/8 of the Property Company, which in the latter will increase your number of nights and stays. Secconda will keep providing the SeccondApp reservations system, the full management of the property and of the Property Company, and will help resell your share if you wish to do so.

What does the process require of me?

Our process is mostly hands-off and stress free for the seller. You get to decide what percentage of the house you want to sell, once you have decided how many shares you want to keep. The remaining interests are then sold to the other buyers.

Is buying with Secconda similar to a typical real estate transaction?

Its similar in a way as you will end up being the owner of a property. However, in Secconda you are buying a share of a Property Company that owns a property and not buying directly a property.

What is the home sale and purchase procedure?

The rest of the interests are sold to the other buyers. After closing, Secconda carries out any necessary repairs and aesthetic enhancements.

What is Secconda and what does it do?

Secconda is a fractional ownership company that provides Property Company management services to individuals who seek to co-own second homes. We provide support for co-owners, management of the Property Company’s legal and property aspects, and ensure a seamless and harmonious experience.

Is the commission based on the price of the whole home or the share?

The commission is paid based on the share price. Since a commission is paid for each share sold, a single real estate agent can bring in multiple buyers and earn multiple commissions. If one owner purchases more than 1 share the agent is entitled to multiple commissions as well.

Does Secconda markup or raise monthly operating expenses?

Owners receive operating expenses at cost with no markup, and with all expense statements available upon request. As manager of the Property Company, Secconda will only adapt fees to changes in household expenses. For example, if there is an increase to the insurance cost of the home, expense statements will increase accordingly.

How many nights can I stay in my home?

Yearly access is fully dependent on the amount of shares owned. Each share owned grants 44 nights out of a 365 day cycle. This 365 day cycle is counted relatively to the beginning of your ownership, not a natural year. So if you acquire a share on the 4th of February 2022, for example, that would mean that your 365 day cycle begins to count on the 4th of February, and those 44 nights would be counted between the 4th of February 2022 and February 3rd of the following year

Is Secconda a property management company?

Secconda is not a property management company, it is a real estate service that assists in the purchasing and owning of shares in a second home. We do, however, select and supervise local property managers as part of our services for owners, who in turn oversee upkeep, landscaping, pool maintenance, and more.

How is the deed to my home recorded?

Each property’s deed is under the name of a property-specific limited liability company (the Property Company) formed specifically for each property, to ensure privacy, efficiency, and liability protection. Each co-owner holds their interest through this Property Company.

Does the property company have an operating agreement and can Secconda make any changes to it?

Each Property Company will have the equivalent to an operating agreement. However, the terminology and documents will depend on where the Property Company is formed. Secconda will only have limited authorization for non-material changes on behalf of the owners, while any material changes must be subject to ownership vote. In any case, this will depend on each country.

What are Program Stays and how many can I schedule?

Program Stays are booked between 8 days and 24 months before the intended date of arrival. Each owner is entitled to a maximum of 6 Program Stays at a time for every share owned. One Program Stay may last between 2 and 7 nights. Staying between 8 and 14 nights will be considered as two Program Stays.

Is financing available?

At this time we are not able to offer integrated financing to our buyers. Buyers are welcome to support their purchase through personal loans or home equity financing

When am I paid my commission?

Real estate agents are paid on the same day of the transaction of the share, you do not have to wait until all shares are sold.

How does the process compare to a traditional sale?

The process and paperwork involved are almost identical to a whole home sale. The greatest difference for real estate agents is that Secconda handles everything, lessening the agent’s workload, and opening the path towards an easy commission.

What about my furniture?

Each home purchased by Secconda is reviewed by our interior design team. Should the existing furniture be found apt for Secconda and the seller ready to part with it, it will be bought directly from the seller at closing. Otherwise, the interior design team will fully redesign the space after closing.

Will I truly have ownership of my home after buying a share?

Yes! Your purchase grants you a share in a property-specific limited liability company, which is the exclusive owner of the home. You and fellow co-owners of the Property Company will be the owners of the home.

What are On The Go Stays?

On The Go Stays are stays reserved between 2 and 7 days before the intended arrival day. These stays count towards the total annual stay nights, but are not considered as one of the 6 Program Stays allotted to each owner per share of ownership.

Only owners and their guests are permitted to occupy a Secconda Home, rentals are not allowed

How are the reserve funds used?

How long can a stay last?

One share will entitle an Owner to stay a minimum of 2 nights and up to a maximum of 14 nights in one single reservation. However, if a stay lasts between 2 and 7 nights, it will be considered one Program Stay. If the stay lasts between 8 to 14 nights it will be considered as two Program Stays. If an Owner holds two shares, this will entitle the Owner to reserve a stay of up to 28 nights, which would count as 4 Program Stays of the 12 Program Stays that the Owner may hold at a time

Am I protected if another owner defaults?

Yes, Secconda serves as corporate guarantor, thereby protecting other owners should one of them default.

Will my share’s value increase if the home appreciates in value?

Yes. Any equity gains go to you, the Owner!

What do I do when I have a buyer interested in a Secconda Home?

You can contact us to let us know that you have a buyer interested in purchasing a share. We will contact you to sign an agreement where we will recognize a buyer’s commission for you if the buyer ends up purchasing any shares. You may proceed to be as involved as you wish in the sale process.

How many neighbors will I have from a single Secconda Home?

For On Go stays you only need to schedule between 2 and 7 days before your intended arrival. Stays are proportional to the number of shares owned.

What about monthly costs for owners?

All home operating costs are turned over to the Owners to be split proportionally, with absolute transparency and no increases on our behalf. These will include management of the property, maintenance costs, cleaning, and property taxes. We charge a fixed monthly fee, which will depend on each country, covering oversight of the Property Company along with owner support and technological improvements to make your ownership experience the best possible.

Are back-to-back stays allowed?

Owners are not allowed to book back-to-back stays to ensure equal access for every Owner. Instead, arrival dates must be at least 7 days away from that same Owner’s previous departure, even if the stay was for less than 7 nights. Moreover, if an Owner’s previous stay lasted 7 nights or longer then they must wait an equal amount of nights before their next arrival. However, this rule does not apply if you are scheduling an On The Go Stay.

What do I do if my listing would make a great Secconda?

How is voting called and how are votes distributed?

Any Owner may bring up a major issue to the other owners for voting. To call for a vote, owners may notify their Representative, and each individual share owned will hold one vote.

What are Memorable Dates and how many can I reserve?

Memorable Dates are recognized holidays that must be booked for a minimum of three nights. Owners are entitled to reserve up to one Memorable Date at a time per share owned. Once you begin to enjoy your Memorable Date stay, you will be able to reserve a new one.

Properties in Europe include the most repeated holidays across European countries. Memorable Dates include Easter Friday, Good Monday, Labour Day, Christmas, New Year’s Eve, etc. Properties in the Dominican Republic include local and US holidays.

Will listing with Secconda affect how the home shows up on other sites?

Homes are listed as co-ownership opportunities on Secconda, however this will not affect or modify the way the listing appears on other real estate websites. We will request that the listing appear as available in co-ownership on other listing sites but the traditional whole home purchase will be available too.

Are owners allowed to rent their days?

Yes, it is possible. At Secconda we believe that as an Owner you should be able to decide if you want to rent your days or not. Your limit will be the number of days you have to enjoy. However, as we believe that Secconda homeowners are here to enjoy, we do communicate any potential rent to all homeowners before closing it in case someone wants to use the home on those same dates. Secconda will be the one to manage all aspects of rentals to make sure everything runs smoothly.

Which matters can Secconda address without a vote?

We can resolve issues such as minor repairs intended to keep the home in excellent condition. Routine matters would include replacing a broken appliance, replacing a worn hinge, or ongoing home maintenance such as winterizing a deck or applying a coat of paint.

It could happen that an Owner does not get first choice Memorable Date in a given year, but with the 24 month reservation window and the limit to 1 Memorable Date at a time reservation per share, it is likely that Owners will enjoy their top choices.

Can I sell my ownership interest?

Owners have the freedom to sell their ownership interest at any time after 12 months of initial ownership. Owners interested in selling are free to set the price and assign the real estate agent of their choosing who will market the home in the same way as a whole home listing. If you prefer, we are happy to get involved in the sale, but that is totally up to you!

How are Memorable Dates computed?

Memorable Dates must be booked between 8 days and 24 months before the intended date of arrival. Therefore, they are considered within the available Program Stays that an Owner may enjoy at a time, depending on the amount of shares owned.

If for any reason, a Memorable Date were to be available between 2 and 7 days before the mentioned date, an Owner will be able to reserve it as an On The Go Stay regardless of having an active Memorable Date reservation. In this case, the stay reserved between 2 and 7 days before the Memorable Date is considered just as an On The Go Stay and not computed as a Memorable Date.

What are target listings?

Listings of whole homes that we have identified as having potential to be purchased thanks to their location, amenities, and value. If a target home receives enough interest from our buyers, Secconda will acquire it and offer it under our co-ownership system.

Can owners use the reserve funds?

Of course! Owners can use reserve funds to replace items with a limited lifespan such as appliances. Alternatively, owners may call a vote should they want to purchase or replace items in and around the house such as entertainment systems.

Secconda stands with you before, during, and after your purchase. Aside from continuously modernizing the SeccondApp technology, Secconda manages all homeownership aspects. These include: overseeing of the Property Company, resolution of disputes between owners or with the local municipality, and oversight of the property management company. Beyond these services, for property taxes, Secconda handles payments and directly provides forms for you. We also manage the rentals that owners decide to do.

What is a High Season?

High season includes the most valued dates for each location, either because of the weather, the number of services and events available at that location during a specific season, etc. A High Season will consist of 80 days per property

Will I be responsible for home maintenance?

While all home operating costs are turned over to the Owners to be split proportionally, Secconda manages the particulars by hiring local professionals. These  particulars may include landscaping, gardening, pool maintenance, and gutter cleaning.

What if something breaks?

Items with limited lifespans that eventually need to be repaired or replaced will not incur individual responsibility upon any owner, instead the costs are paid by the reserve fund. However, any item destroyed or damaged as a direct result of an owner’s actions will be the responsibility of said owner.

Will Secconda make an offer on my listing if it is displayed as a target?

If our buyers show enough interest in the listing we will make a competitive offer on it. Should an agreement be reached, we make each home purchase under a Limited Liability Company managed by us.

Will Secconda manage my home directly?

Homes are managed by Secconda through the Property Company and through a third-party manager. Thanks to our easily accessible feedback system we are able to ensure constant communication between property managers and property owners. Can owners borrow against their share in the property company?

Owners are not allowed to borrow against their share in a Property Company as stated by the terms of our operating agreement.

How many nights can I reserve within a High Season?

To ensure equity among all the owners of a Property, each share will entitle its owner to enjoy 10 nights within a High Season. In addition, in case three months before the High Season begins there are still free slots, Secconda will notify all the Owners that they can reserve additional nights within the High Season

Once I have reached the maximum of reservations available at a time, how can I reserve the rest of the nights I am entitled to?

As soon as your Program Stay begins, SeccondApp will automatically release that reservation from your active Program Stays allowing you to reserve new Program Stays.

Am I protected if my co-owners don’t pay their bills?

Yes, as a Secconda Owner you are protected from any and all financial responsibility generated when an owner defaults on their payments. Secconda assumes this burden as the manager of the home’s Property Company. This is the advantage of being part of our ownership program!

Can I transfer nights from one year to the next year?

SeccondApp will provide all Owners with a 24 month calendar view so everyone can have the same opportunities to spend their available nights. Nights not enjoyed one year will not be transferred to the following year night count.

Who covers legal fees if the property company is sued?

Legal fees incurred on behalf of the Property Company are forwarded to the owners.

Can I cancel stays that I booked?

Cancelations can be made with no penalty at least 60 days before the intended arrival date. If an Owner needs to cancel with 59 days or less before the arrival date, the SeccondApp will notify all other owners so they may take up those days. There is no penalty if all the recently cancelled dates are rebooked, however should all or part of those days remain unused, they will count as part of the initially scheduled owner’s annual night count for the year.

Am I responsible for damages made by a co-owner to my home?

While the vast majority of Owners cherish and protect their shared property, sometimes accidents happen. As part of our quality assurance, we thoroughly inspect the property after each visit. If any damages are found that surpass ordinary wear and tear, repair costs are charged to the Owner who used the home last.

Can individual owners be held liable?

The Property Company will indemnify owners acting on behalf of the Property Company, should these costs not be covered by insurance, if and only if the owner acted in good faith and in accordance with the operating agreement. However, the Property Company will not indemnify owners found to have acted on behalf of the Property Company with willful misconduct, gross negligence, or in violation of the operating agreement.

What are the arrival and departure times?

Secconda follows standard arrival time at 3:00 p.m. and departure time at 11:00 a.m. local time. Early or late arrivals and departures may be requested and will be processed in accordance to availability set by the calendar and upkeep schedule (including cleaning). Requests are either accepted or denied as soon as possible, usually 48 hours prior to either arrival or departure to facilitate planning.

How are taxes handled?

Secconda will handle the payment of property taxes, and we provide annual tax forms for all owners. Funds allocated for taxes are collected as part of the owner's operating expenses. For further assistance, please consult your personal tax professional.

Am I allowed to leave personal items at my home?

Of course! Every owner will have access to designated storage space for any items they want to keep at the home. The size of the space will be dependent on the property.

Am I allowed to bring my pets?

We are happy to welcome up to two dogs or two cats per visit with some limitations specified in the housing policy.

Can owners run the property company without Secconda?

Secconda serves at the pleasure of the Property Company’s owners. Should owners find Secconda’s service inadequate, they may call for a vote, remove Secconda as the manager of the property, and proceed to manage it themselves.

Are certain owners prioritized during scheduling?

There are no priority rankings for scheduling dates. Our SeccondApp invites all Owners to schedule their stays with equal access based on real-time availability.

Can Secconda stop an owner from selling?

Secconda welcomes owners to retain or sell their share or shares at their pleasure past an initial 12-month period of required ownership. Owners interested in selling are welcome to work with a real estate agent to determine the list price and introduce the share or shares on the open market, identically to how it is done with a whole home listing.

What rules do owners have to follow?

All owners and guests must adhere to Secconda’s Code of Conduct as well as any specific provisions within your operating agreement.

Can Secconda sell the whole property?

In the rare event that over three shares are in default for over 90 days, Secconda can sell the whole property. Before the property is listed on the market, all co-owners are within their right to buy out the defaulted shares at a discount.

Co-ownership of real estate through a limited liability company is a well established legal practice. Still, independently setting up and managing a limited liability company can be a long and arduous process, complicated by interpersonal relationships. What are target listings?
